Please read them carefully before using Venturo.

3. About Venturo

Venturo helps people discover activities, experiences, events & communities.

The Venturo Platform may contain:

  • activities operated by independent businesses;
  • events created by third-party organisers;
  • Venturo-operated events;
  • communities;
  • member-only offers;
  • personalised recommendations;
  • editorial collections;
  • reviews & ratings;
  • business information; and
  • promotional content.

The role Venturo plays may therefore differ depending on the particular listing or transaction.

Where Venturo is the supplier or organiser, this will be identified accordingly.

Where an independent Activity Provider supplies an activity or service, the provider remains responsible for supplying that activity or service.

4. Eligibility & Accounts

Some Venturo features require a User to create an account.

When creating or maintaining an account, you agree to provide information that is accurate, current & complete.

You are responsible for maintaining the security of your login credentials and for activity carried out through your account.

You must notify Venturo as soon as reasonably possible if you believe your account has been accessed without authorisation.

You may not:

  • create an account using another person's identity without permission;
  • impersonate another person or business;
  • provide deliberately false account information;
  • sell, transfer or commercially trade a Venturo account; or
  • use another User's account without permission.

Where a User is legally unable to enter into an agreement independently, use of paid or contractual features must be undertaken with the involvement or permission of a parent, guardian or other person legally authorised to act on their behalf.

Certain activities may have their own minimum age, supervision or participation requirements.

5. Free & Paid Features

Venturo may provide both free & paid functionality.

Free features may include access to selected discovery, activity, event, community or account functionality.

Venturo Membership may provide additional benefits such as:

  • personalised discovery features;
  • access to selected member benefits;
  • discounts from participating businesses;
  • member-only opportunities;
  • additional platform functionality; or
  • other benefits described at the time of subscription.

The features included in a membership may develop as Venturo evolves.

Material changes affecting a paid subscription will be communicated where reasonably necessary.

6. Venturo Membership

Venturo Membership is a recurring or fixed-period service offered by Venturo.

Before subscribing, the applicable membership screen or checkout will display relevant information including:

  • the membership price;
  • billing frequency;
  • applicable membership benefits;
  • renewal information where applicable; and
  • cancellation information.

A membership becomes active after the relevant payment or subscription has been successfully confirmed.

Membership benefits apply to the eligible Venturo account associated with the subscription.

7. Membership Purchased Through the Venturo Website

Website memberships may be processed through Venturo's approved payment service provider.

Where a recurring subscription is offered, the applicable billing frequency & renewal conditions will be shown before purchase.

Customers may cancel future renewal in accordance with the cancellation process made available by Venturo.

Cancellation of future renewal does not automatically create a refund for a subscription period that has already been supplied.

Refunds are dealt with under Venturo's Refund & Cancellation Policy and applicable law.

8. Membership Purchased Through an App Store

Where a Venturo Membership is purchased through Apple or another authorised application marketplace, the purchase may also be subject to the applicable marketplace's terms, billing rules & subscription-management procedures.

Payment processing, renewal, cancellation & certain refund requests may be administered by the relevant application marketplace.

Where a User legitimately holds an active Venturo Membership, Venturo may associate that membership entitlement with the User's Venturo account.

The User remains responsible for managing any subscription through the platform through which that subscription was purchased where required.

9. Member Benefits & Discounts

Participating Activity Providers may offer discounts or other benefits to Venturo Members.

Unless expressly stated otherwise:

  • the Activity Provider supplies the underlying activity;
  • the Member books directly with the Activity Provider;
  • the Member pays the Activity Provider directly;
  • the Activity Provider remains responsible for the activity; and
  • the Activity Provider's applicable booking, cancellation & refund terms apply to the activity purchase.

Member Benefits may:

  • be subject to availability;
  • have specified redemption periods;
  • exclude certain dates or products;
  • have capacity restrictions;
  • require advance booking;
  • be limited to specified branches or locations; or
  • contain additional conditions disclosed with the offer.

Participating businesses are responsible for honouring valid Member Benefits they have agreed to provide.

If a Member experiences difficulty redeeming a benefit, the Member should notify Venturo so that the matter can be investigated.

A Member Benefit has no independent cash value unless expressly stated otherwise.

10. Third-Party Activities & Businesses

Many activities displayed through Venturo are supplied by independent Activity Providers.

Venturo may provide information including:

  • activity descriptions;
  • indicative prices;
  • locations;
  • contact information;
  • operating hours;
  • booking information;
  • photographs;
  • suitability information;
  • Member Benefits; and
  • other relevant information.

Where a User books & pays an independent Activity Provider directly, the agreement for that activity is between the User and the Activity Provider.

The Activity Provider is responsible for matters relating to its service, including:

  • availability;
  • bookings;
  • payment;
  • service delivery;
  • safety requirements;
  • cancellations;
  • refunds;
  • venue rules; and
  • customer service relating to the activity.

Venturo does not currently collect, hold or distribute customer booking funds on behalf of independent Activity Providers unless a particular transaction expressly states otherwise.

11. Accuracy of Third-Party Information

Venturo aims to provide useful & reasonably accurate information.

Activity information may change after it has been published.

Changes may include:

  • prices;
  • operating hours;
  • availability;
  • age restrictions;
  • activity offerings;
  • contact information;
  • locations;
  • booking requirements; and
  • terms imposed by the Activity Provider.

Users should confirm material information with the relevant Activity Provider before travelling, booking or participating where appropriate.

If you discover information on Venturo that appears inaccurate or outdated, please notify us so that we can investigate & update it.

12. Venturo-Operated Events

Venturo may organise its own events, activities or experiences.

Where Venturo operates the event, the listing will provide relevant information such as:

  • event name;
  • date;
  • starting time;
  • location;
  • price;
  • inclusions;
  • exclusions;
  • participation requirements; and
  • applicable cancellation conditions.

A booking is confirmed only once the applicable payment has been successfully completed and the booking has been accepted by Venturo.

Capacity may be limited.

13. Event Participation

Users participating in Venturo-operated events must:

  • follow reasonable instructions from Venturo, venue staff & event representatives;
  • behave respectfully towards other attendees;
  • comply with venue rules;
  • disclose relevant participation requirements where reasonably necessary for safety;
  • use required safety equipment where applicable; and
  • avoid conduct that creates an unreasonable risk to themselves or others.

Venturo may refuse participation or require a person to leave an event where their behaviour creates a safety risk, substantially disrupts the event, amounts to harassment or threatens other attendees.

Any refund in those circumstances will be considered according to the circumstances, the Refund & Cancellation Policy & applicable law.

14. Activity Risk & Personal Responsibility

Activities displayed through Venturo may involve different levels of physical activity, skill, environmental exposure or inherent risk.

Examples may include hiking, climbing, cycling, adventure activities, water activities, motorsport-related activities or other recreational experiences.

Users are responsible for considering whether an activity is suitable for their own abilities & circumstances.

Where an Activity Provider imposes safety rules, waivers, age restrictions, fitness requirements, clothing requirements or other participation conditions, the User must comply with those requirements.

Venturo does not replace professional medical, safety or activity-specific advice.

Nothing in these Terms excludes liability or consumer rights where such liability or rights cannot lawfully be excluded.

15. Event Changes, Cancellations & Refunds

Bookings for Venturo-operated events are subject to the Venturo Refund & Cancellation Policy.

This policy explains matters including:

  • customer cancellations;
  • Venturo cancellations;
  • rescheduled events;
  • weather-related changes;
  • ticket transfers;
  • no-shows;
  • refunds; and
  • third-party activity cancellations.

The applicable Refund & Cancellation Policy forms part of the terms of a purchase made directly from Venturo.

Event-specific cancellation conditions may also apply where they are disclosed before purchase.

16. Payments

Prices for products or services sold directly by Venturo will be displayed before payment.

Where applicable, prices will be displayed in South African rand.

Payments through the Venturo website may be processed by an approved third-party payment service provider such as PayFast.

Venturo does not need to receive or store the User's full payment-card credentials where the payment is processed by the relevant payment provider.

Access to a paid service or confirmation of a ticket may be delayed until payment has been successfully confirmed.

A payment appearing as pending does not constitute confirmed payment.

17. Review Before Payment

Before completing an electronic purchase directly from Venturo, the Customer will be given an opportunity to review the transaction information presented during checkout.

This may include:

  • product or service selected;
  • quantity where applicable;
  • total amount payable;
  • relevant event information;
  • applicable cancellation information; and
  • required contractual acknowledgements.

Customers should review this information carefully before selecting the final payment or order confirmation button.

18. Refunds

Refunds for products & services purchased directly from Venturo are governed by the Venturo Refund & Cancellation Policy.

Where a payment was made directly to an independent Activity Provider, any refund must generally be requested from that Activity Provider because Venturo did not receive the relevant payment.

Nothing in these Terms or the Refund & Cancellation Policy limits a consumer right that cannot lawfully be limited or excluded.

19. Communities

Venturo may allow Users to discover, join or participate in communities.

A community may be:

  • operated by Venturo;
  • created or managed by a third party; or
  • supported by Venturo while independently managed.

Community participation may be subject to additional community rules.

Users must treat other members respectfully & may not use Venturo communities for unlawful, abusive, threatening, discriminatory, harassing, fraudulent or harmful purposes.

Venturo may moderate communities accessible through the Venturo Platform where appropriate.

20. Reviews, Ratings & User-Generated Content

Venturo may allow Users to submit reviews, ratings, comments, photographs, profile information or other User-Generated Content.

Users remain responsible for the Content they submit.

By submitting User-Generated Content, you confirm that:

  • you have the right to submit it;
  • it does not unlawfully infringe another person's intellectual property rights;
  • it does not unlawfully disclose another person's personal information;
  • it is not deliberately false, fraudulent or misleading;
  • it does not contain unlawful threats or harassment; and
  • its publication through Venturo does not violate applicable law.

You retain ownership of your original User-Generated Content.

By submitting it to Venturo, you grant Venturo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format & distribute that Content to the extent reasonably necessary to operate, improve & promote the Venturo Platform.

Where Venturo proposes to use identifiable User-Generated Content in a materially different advertising campaign or context, additional permission may be sought where appropriate.

21. Content Moderation

Venturo may review, restrict, remove or refuse to publish User-Generated Content where Venturo reasonably believes that it:

  • violates these Terms;
  • infringes intellectual property;
  • contains spam;
  • contains harassment or threats;
  • is fraudulent or misleading;
  • contains unlawful material;
  • exposes personal information improperly;
  • creates a safety concern;
  • is irrelevant to the feature in which it was submitted; or
  • materially harms the integrity of the Venturo Platform.

Moderation decisions may take account of context, repeated behaviour & the severity of the issue.

Venturo may provide Users with reporting tools for inappropriate content or behaviour.

A more detailed User-Generated Content or Community Policy may supplement these Terms.

22. Intellectual Property

Except for third-party content & User-Generated Content, the Venturo Platform and original material created by Venturo may include intellectual property owned by or licensed to Venturo.

This may include:

  • Venturo branding;
  • logos;
  • graphics;
  • application design;
  • website design;
  • original written content;
  • photographs;
  • illustrations;
  • software;
  • databases;
  • curated collections; and
  • other original material.

Users may use the Venturo Platform for normal personal use.

Unless permitted by law or authorised by Venturo, Users may not:

  • copy substantial portions of Venturo Content;
  • reproduce Venturo Content commercially;
  • scrape or systematically extract Venturo data;
  • create an unauthorised competing database from Venturo Content;
  • remove copyright or proprietary notices;
  • impersonate Venturo;
  • use Venturo branding in a misleading manner; or
  • commercially exploit Venturo intellectual property without permission.

23. Third-Party Intellectual Property

Business names, trademarks, logos, photographs & other material belonging to Activity Providers or other third parties remain the property of their respective owners or licensors.

Their appearance on Venturo does not transfer ownership to Venturo or to Users.

If you believe material displayed through Venturo unlawfully infringes your copyright, trademark or other intellectual property right, you may contact Venturo with sufficient information for us to investigate the complaint.

Venturo may remove, restrict or amend disputed material while a legitimate claim is being investigated.

A separate Copyright & Intellectual Property Policy may provide further details regarding this process.

24. Acceptable Use

Users may not use Venturo to:

  • commit or encourage unlawful activity;
  • attempt to gain unauthorised access to another account or system;
  • interfere with the operation or security of the Platform;
  • introduce malicious software;
  • scrape or automatically extract data without permission;
  • manipulate ratings or reviews;
  • create fake accounts for deceptive purposes;
  • impersonate another person or business;
  • harass or threaten another User;
  • send unlawful spam;
  • commit fraud;
  • distribute unlawful or infringing Content; or
  • use Venturo in a way that materially harms other Users, Activity Providers or the Platform.

25. Fraud & Abuse

Venturo may investigate suspicious use of:

  • accounts;
  • Member Benefits;
  • promotional codes;
  • tickets;
  • reviews;
  • referrals;
  • payment methods; or
  • other platform functionality.

Venturo may temporarily restrict functionality while a genuine fraud or security concern is investigated.

Where fraudulent activity is reasonably established, Venturo may suspend or terminate the relevant account and take further lawful action where appropriate.

26. Account Suspension & Termination

A User may stop using Venturo at any time.

Venturo may suspend or terminate an account where reasonably necessary because of:

  • material breach of these Terms;
  • fraud;
  • unlawful use;
  • repeated abuse of other Users or businesses;
  • serious safety concerns;
  • deliberate manipulation of the Platform; or
  • security threats.

Where reasonably appropriate, Venturo may provide notice or an opportunity to remedy the issue before termination.

Immediate action may be taken where necessary to prevent fraud, unlawful conduct, security threats or harm.

Termination of an account does not automatically eliminate rights or obligations relating to completed transactions.

27. Account Deletion

Users may request deletion of their Venturo account through the functionality or contact method made available by Venturo.

Deletion of an account may result in loss of:

  • profile information;
  • saved activities;
  • wishlist or bucket-list information;
  • community membership;
  • personalised preferences; and
  • other account features.

Certain records may be retained where reasonably necessary or legally required, including records relating to:

  • transactions;
  • refunds;
  • accounting;
  • fraud prevention;
  • legal disputes; or
  • regulatory obligations.

Personal information is handled in accordance with Venturo's Privacy Policy & applicable data-protection law.

28. Privacy

Venturo processes personal information in accordance with its Privacy Policy and applicable South African data-protection legislation.

The Privacy Policy explains matters including:

  • what information Venturo collects;
  • why it is processed;
  • how it is used;
  • when it may be shared;
  • service providers involved;
  • retention;
  • security;
  • User rights; and
  • how Users may contact Venturo regarding personal information.

Users should read the Privacy Policy together with these Terms.

29. Marketing Communications

Where required, Venturo will request appropriate permission before sending electronic direct-marketing communications.

Marketing preferences may be managed separately from acceptance of these Terms.

Users who receive eligible marketing communications will be provided with a method to opt out or unsubscribe.

Transactional communications required to operate an account, provide a purchased service, confirm a booking, provide security information or administer a transaction may still be sent where appropriate.

30. Location & Personalisation

Venturo may use information supplied by a User, such as interests, preferences & selected location information, to personalise activity, event or community recommendations.

Where device location permission is required, the User can manage that permission through the device or application settings available to them.

Recommendations are intended to assist discovery.

A recommendation does not constitute a guarantee that an activity will be suitable, available or enjoyable for every User.

31. Third-Party Links & Services

Venturo may link to websites, booking services, maps, social networks or other services operated by third parties.

Venturo does not control those third-party platforms.

When a User leaves Venturo and uses another provider's service, that provider's terms, privacy practices & other policies may apply.

The presence of a link does not by itself mean that Venturo controls or guarantees the third-party service.

32. Availability of the Venturo Platform

Venturo aims to keep the Platform reasonably available.

Temporary interruptions may occur because of:

  • maintenance;
  • updates;
  • technical faults;
  • internet outages;
  • hosting problems;
  • security incidents;
  • third-party service interruptions; or
  • circumstances outside Venturo's reasonable control.

Venturo may update, repair or modify the Platform as required.

Where a paid service is materially affected, Venturo will consider any applicable contractual or consumer rights.

33. Safety & Emergencies

Venturo is a discovery platform and is not an emergency-response service.

Users experiencing an emergency should contact the appropriate emergency service, venue representative or relevant authority.

Users should follow the safety instructions provided by the Activity Provider or event organiser responsible for the activity.

34. Limitation of Liability

To the maximum extent permitted by applicable law, Venturo will not be responsible for loss caused solely by the acts or omissions of an independent Activity Provider where Venturo did not supply the relevant activity or service.

Venturo does not guarantee that every independently supplied activity, venue or third-party service will:

  • always be available;
  • operate exactly as originally advertised;
  • meet every User's personal expectations; or
  • remain unchanged after being listed.

Nothing in these Terms:

  • excludes liability that cannot lawfully be excluded;
  • waives rights granted to consumers under applicable South African law; or
  • excludes liability for conduct where such exclusion would be prohibited by law.

35. Indemnity

To the extent permitted by law, a User may be responsible for loss reasonably suffered by Venturo as a direct result of the User's unlawful conduct, fraud, deliberate infringement of third-party rights or material breach of these Terms.

This clause does not require a consumer to indemnify Venturo for Venturo's own unlawful conduct, gross negligence or liability that cannot lawfully be excluded.

36. Complaints & Disputes

Venturo encourages Users to contact us first where a problem relates to:

  • a Venturo account;
  • Venturo Membership;
  • a Venturo-operated event;
  • a payment made directly to Venturo;
  • a Member Benefit;
  • platform functionality; or
  • Content displayed through Venturo.

We will attempt to investigate & resolve legitimate complaints reasonably.

Where a complaint relates to an activity purchased directly from an independent Activity Provider, the User should ordinarily contact that provider first.

Nothing in these Terms prevents a consumer from exercising any right to approach an appropriate regulator, consumer body, court or other dispute-resolution mechanism available under applicable law.

37. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any dispute will be dealt with in accordance with applicable South African law and the jurisdiction of the appropriate South African courts or other competent dispute-resolution body.

Nothing in this section limits any jurisdictional right granted to a consumer by law.

38. Changes to These Terms

Venturo may update these Terms from time to time to reflect:

  • changes to the Platform;
  • new functionality;
  • changes to payment methods;
  • operational developments;
  • changes in applicable law; or
  • improvements to Venturo policies.

The updated Terms will display a revised effective or last-updated date.

Where a change materially affects an existing paid service or User's rights, Venturo will provide appropriate notice where required.

Changes will not retrospectively remove rights that have already accrued under applicable law.

39. Severability

If a provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the extent necessary under applicable law.

The remaining provisions will continue to apply where legally possible.

40. Entire Agreement

These Terms, together with any policies expressly incorporated into them, constitute the applicable agreement between Venturo and the User concerning use of the Venturo Platform.

Relevant incorporated policies may include:

  • the Privacy Policy;
  • Refund & Cancellation Policy;
  • User-Generated Content / Community Guidelines;
  • event-specific booking conditions; and
